End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and InQ Tax Inc. ("Company") for InQ Ledger desktop software ("Software"). By installing or using the Software, you agree to this EULA.

1. Grant of License

InQ Tax Inc. grants you a limited, non-exclusive, non-transferable license to install and use InQ Ledger on computers you own or control, subject to the terms of your active subscription. One license covers unlimited company files.

2. Restrictions

You may not:

• Copy, modify, or distribute the Software
• Reverse engineer, decompile, or disassemble the Software
• Rent, lease, lend, sell, or sublicense the Software
• Remove or alter any proprietary notices or labels
• Use the Software to develop a competing product
• Share your license key with persons outside your organization

3. License Verification

The Software connects to InQ Tax Inc. servers periodically to verify your license. An internet connection is required for license verification. A 7-day offline grace period applies if the server cannot be reached. If your subscription lapses, the Software enters read-only mode — you retain full access to view your data and run reports.

4. Intellectual Property

The Software and all related materials are owned by InQ Tax Inc. and protected by copyright and intellectual property laws. This EULA does not transfer any ownership rights to you. All rights not expressly granted are reserved.

5. Your Data

Company files created with InQ Ledger are stored locally on your machine and remain your property. InQ Tax Inc. has no access to your accounting data. You are solely responsible for backing up your data.

6. Updates

InQ Ledger may automatically download and install updates. Updates may add, modify, or remove features. Continued use after an update constitutes acceptance of the updated Software. Updates are included with an active subscription.

7. Term and Termination

This EULA is effective from your first use of the Software and continues until terminated. Your license terminates automatically if you cancel your subscription or violate any term of this EULA. Upon termination, you must cease use of the Software. Your data files remain yours and are not affected by license termination.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. INQTAX INC. DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INQTAX INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE. TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law

This EULA is governed by the laws of the State of Missouri. Disputes shall be resolved in the courts of Jackson County, Missouri.

11. Entire Agreement

This EULA, together with the Terms of Service and Privacy Policy available at inqledger.com, constitutes the entire agreement between you and InQ Tax Inc. regarding the Software.
